The application of Shenzhen kangguan Technology Co., Ltd. (hereinafter referred to as “kangguan technology”, “issuer” or “company”) for the initial public offering of no more than 424875 million common shares (A shares) (hereinafter referred to as “this offering”) has been approved by the China Securities Regulatory Commission’s CSRC license [2022] No. 375, This offering is conducted through the combination of offline inquiry and placement to qualified investors (hereinafter referred to as “offline issuance”) and online pricing issuance to social public investors holding the market value of non restricted A-Shares and non restricted depositary receipts in Shenzhen market (hereinafter referred to as “online issuance”).

1. According to the announcement of Shenzhen kangguan Technology Co., Ltd. on October 2, 2023, after the initial public subscription of new shares, the investors have the obligation to receive the full amount of funds in the online subscription account of Shenzhen kangguan Technology Co., Ltd. according to the announcement of Zhongjiao Technology Co., Ltd. on October 2, 2023, The transfer of investors’ funds shall comply with the relevant provisions of the securities company where the investors are located.
The shares that offline and online investors give up to subscribe for shall be underwritten by the sponsor (lead underwriter) Chinalin Securities Co.Ltd(002945) exclusively.
2. When the total number of shares paid and subscribed by offline and online investors is less than 70% of the number of public offerings, the sponsor (lead underwriter) will suspend the issuance of new shares and disclose the reasons for the suspension and subsequent arrangements.
3. If online investors fail to pay in full after winning the lottery for three times in a row within 12 months, they shall not participate in the online subscription of new shares, depositary receipts, convertible corporate bonds and exchangeable corporate bonds within 6 months (calculated as 180 natural days, including the next day) from the next day of the settlement participant’s latest declaration of abandonment of subscription. The number of times of giving up subscription shall be calculated according to the number of times of investors actually giving up subscription of new shares, depositary receipts, convertible corporate bonds and exchangeable corporate bonds.
4. Once this announcement is published, it shall be deemed to have served the notice of allocated payment to the online investors who have participated in the online subscription and won the lot.
According to the announcement on IPO of Shenzhen kangguan Technology Co., Ltd., the sponsor (lead underwriter) Chinalin Securities Co.Ltd(002945) of this IPO hosted the lottery ceremony of IPO of Shenzhen kangguan Technology Co., Ltd. in Room 202, building 203, Shangbu Industrial Zone, Hongli West Road, Futian District, Shenzhen on the morning of March 9, 2022 (T + 1). The lottery ceremony was conducted and notarized under the supervision of the representative of Shenzhen Luohu notary office in Guangdong Province in accordance with the principles of openness, fairness and impartiality.
