(this proposal needs to be submitted to the general meeting of shareholders for deliberation and approval). The relevant information is hereby announced as follows:
1、 Description of the amendment of the articles of Association
According to the actual needs of the company’s business development, the company plans to change the company’s business scope, registered address, registered capital and total number of shares, and amend the articles of association as follows:
(i) Increase the company’s business scope
It is proposed to add “design, R & D, production, sales, construction and service of audio and video system” to the business scope. The added business scope shall finally be subject to the contents approved by the market supervision (industrial and commercial registration) department, and Article 14 “business scope” in Chapter II of the articles of association of the company shall be modified accordingly.
（2） Change of registered address
According to the company’s development plan, it is proposed to change the registered address of the company from “room 1803, building 18, Jingke 1 building, No. 360, Tianhui Road, Chengdu high tech Zone” to “No. 1369, Kezhi Road, Xinglong Street, Tianfu new area, Sichuan”, and modify Article 5 of Chapter I of the articles of association accordingly.

（3） Change of registered capital and total number of shares
The company’s issuance of shares, payment of cash to purchase assets, raising supporting funds and related party transactions have obtained the registration reply issued by the CSRC on September 23, 2021. The company completed the equity transfer procedures and relevant industrial and commercial change registration of the subject company of this transaction on October 29, 2021. The company now holds 100% equity of ruituo technology. On December 8, 2021, 8903321 shares issued by the company to the counterparty completed the share registration formalities in Shenzhen Branch of China Securities Depository and Clearing Co., Ltd., the total share capital of the company was changed to 188903321 shares, and the registered capital was changed to RMB 188903321, and Article 6 of Chapter I of the articles of association Article 20 of Chapter III shall be amended accordingly.

2、 Description of authorized industrial and commercial change
Due to the amendment of the articles of association and industrial and commercial filing procedures involved in the above changes, the board of directors of the company requests the general meeting of shareholders to authorize the board of directors to be responsible for handling the industrial and commercial filing procedures of the amendment to the articles of association after the relevant proposals are deliberated and approved by the general meeting of shareholders.
