Rayhoo Motor Dies Co.Ltd(002997) (hereinafter referred to as “the company”) held the 18th meeting of the second board of supervisors on December 29, 2021. The meeting deliberated and adopted the proposal on changing the board of supervisors and electing shareholders’ representative supervisors of the third board of supervisors. The relevant information is hereby announced as follows:
Since the term of office of the second board of supervisors of the company has expired, in accordance with the company law, the guidelines for the standardized operation of listed companies of Shenzhen Stock Exchange and the articles of association, the board of supervisors of the company agrees that Mr. Fu Weilian, Mr. Duan guangcan and Mr. Liu Zejun are candidates for shareholder representative supervisors of the third board of supervisors of the company, The term of office is three years from the date of deliberation and approval by the general meeting of shareholders of the company. The resumes of the above supervisors are detailed in the annex.
The number of the above-mentioned candidates for supervisors complies with the provisions of the company law, the articles of association and the rules of procedure of the board of supervisors, and there is no situation in which the company’s directors and senior managers and their spouses and immediate family members serve as the company’s supervisors during the term of office of the company’s directors and senior managers.
The third board of supervisors of the company consists of 5 members, including 3 shareholders’ representative supervisors and 2 employees’ representative supervisors (directly elected by the employees’ Congress of the company). The candidates for shareholders’ representative supervisors will be elected by the shareholders’ Congress by cumulative voting.
