Announcement on the increased investment of wholly-owned subsidiaries in industrial park projects

Fujian Boss Software Corp(300525) (hereinafter referred to as “the company”) held the 30th meeting of the third board of directors on December 9, 2020, deliberated and approved the proposal on investment and construction of industrial park by wholly-owned subsidiaries, and agreed that Fujian Bosi Intelligent Information Industry Technology Co., Ltd. (hereinafter referred to as “Bosi intelligent information”), a wholly-owned subsidiary of the company, should invest in the construction of artificial intelligence Industrial Park project (hereinafter referred to as “Industrial Park Phase I”), with a total investment of no more than 580 million yuan.
On December 29, 2021, the company held the 7th Meeting of the 4th board of directors. In order to meet the needs of the company’s future development, it was agreed that Bosi smart information adjusted the investment amount of phase I of the industrial park to 650 million yuan, and planned to invest 325 million yuan to build phase II of the Industrial Park (hereinafter collectively referred to as “this investment” or “this project”). 1、 Investment overview
1. Basic information of increased investment in phase I of the Industrial Park
The increased investment amount in phase I of the industrial park is mainly due to the increase of the total construction area calculated in the early stage of the project construction, as well as the adjustment of various factors encountered in the process of project construction, such as the increase of project quality requirements and the rise of labor and building material prices. The construction content and investment direction of the project remain unchanged, which will not affect the normal implementation of the project. 2. Acquisition of land for phase II of the Industrial Park
In September 2021, Bosi wisdom information signed the transfer contract for the use right of state-owned construction land with the natural resources and Planning Bureau of Changle District, Fuzhou City, and obtained the use right of state-owned construction land with the number of parcel 2021 bingonggua-8 in Fuzhou Binhai New Town, with the transferred land area of 22649 square meters.
