Commitment to fill diluted immediate return measures
In accordance with the guiding opinions on matters related to initial public offering, refinancing and diluted immediate return of major asset restructuring (CSRC announcement [2015] No. 31) of the CSRC, in order to ensure the effective implementation of Goody Science & Technology Co.Ltd(002694) (hereinafter referred to as ” Goody Science & Technology Co.Ltd(002694) ” or “the company”) to fill the return measures, as the actual controller of Goody Science & Technology Co.Ltd(002694) after the completion of this non-public offering, I make the following commitments:
(1) Do not interfere with the company’s operation and management activities beyond its authority, do not encroach on the company’s interests, and earnestly implement the relevant measures to fill the return of the company.
(2) Exercise shareholders’ rights stipulated in laws, regulations and normative documents according to law, and shall not abuse or damage the legitimate rights and interests of the company and other shareholders.
(3) I promise that from the date of issuance of this commitment to the completion of this offering, if the relevant regulatory authorities make other new regulatory provisions on filling return measures and their commitments, and the above commitments cannot meet the provisions of the relevant regulatory authorities, I promise to issue supplementary commitments in accordance with the latest provisions of the relevant regulatory authorities. (4) If I violate such commitments or refuse to fulfill them, I am willing to accept relevant penalties or take relevant management measures against the company by securities regulatory authorities such as CSRC and Shenzhen Stock Exchange; if I violate such commitments and cause losses to the company or shareholders, I am willing to bear compensation liability according to law.
