Letter of commitment
Whereas:
Shanxi Shengnong Investment Co., Ltd. (hereinafter collectively referred to as the “commitment party”) holds 155414292 shares of Goody Science & Technology Co.Ltd(002694) (Stock Code: 002694, hereinafter referred to as the “listed company”), accounting for 26.02% of the total shares of the listed company. The enterprise now unconditionally, irrevocably and freely makes the following commitments:
Within 36 months from the effective date of this letter of commitment, the enterprise will not increase the shares of the listed company directly or indirectly for the purpose of seeking the actual control of the listed company; It will not seek the actual control of the listed company alone or jointly with the shares of the listed company it holds; Nor will it seek the actual control of the listed company alone or jointly by entrustment, solicitation of voting rights, agreement, association with other shareholders or any other means.
If the enterprise violates the above commitments and causes losses to the listed company or investors, the enterprise will be liable for compensation according to law.
This letter of commitment shall take effect from the date when Wanyang Group Co., Ltd. completes the subscription of this private placement and becomes the largest shareholder of the listed company.
