After prior approval, the independent directors made the following independent opinions on the company’s daily connected transactions forecast in 2022:
1. The company’s transactions of purchasing goods, receiving labor services, selling goods and providing labor services to related parties are conducive to the implementation of the company’s international engineering contracting projects and the development of other businesses. The transaction price follows the principles of openness, fairness, impartiality and market-oriented pricing;
2. The board of directors of the company’s review and confirmation procedures for the actual occurrence of the company’s connected transactions in 2021 are legal and compliant, and the description of the large difference between the actual occurrence of the daily connected transactions and the prediction is in line with the actual situation of the market and the company; The daily related party transactions that have occurred are all transactions required for the normal operation of the company. The related party transactions are fair and impartial, and the transaction price is fair, which does not affect the independence of the company.
3. When voting on the proposal, the related directors avoided voting and implemented the relevant avoidance voting system. The trading and decision-making procedures comply with the relevant provisions of the company law, the securities law, the stock listing rules of Shenzhen Stock Exchange and the articles of association, comply with the interests of the listed company and all shareholders, and do not damage the interests of the company and other shareholders, especially small and medium-sized shareholders and non associated shareholders.

In accordance with the company law, the guiding opinions on the establishment of independent directors in listed companies, the stock listing rules, the articles of association and other relevant provisions, as independent directors of the company, we hereby express independent opinions on the election of directors of the company as follows:
(1) The nomination procedure of director candidate Wang Qingkang is standardized and in line with the company law, the articles of association and other relevant provisions;
(2) After reviewing the resumes and other materials of director candidate Wang Qingkang, it is not found that he is not allowed to serve as a director of the company according to the company law, nor is he determined by the CSRC as a market prohibited person and the prohibition has not been lifted, which meets the conditions for serving as a director of a listed company;
(3) Agree to submit the proposal to the general meeting of shareholders of the company for deliberation.
