Announcement on resignation of directors of the company

Norinco International Cooperation Ltd(000065) (hereinafter referred to as “the company” or ” Norinco International Cooperation Ltd(000065) “) the board of directors received the written resignation report submitted by Ms. Zhang Xiaoming, the director of the company, on March 7, 2022. Due to job transfer, Ms. Zhang Xiaoming applied to resign as a director of the 8th board of directors and a member of the remuneration and assessment committee of the 8th board of directors. Ms. Zhang Xiaoming does not hold shares of the company and will not hold other positions in the company after her resignation. Ms. Zhang Xiaoming’s resignation will not cause the number of members of the company’s board of directors to be lower than the minimum quorum and will not affect the normal operation of the company’s board of directors. The resignation report shall take effect from the date it is delivered to the board of directors of the company.
