Shenzhen Grandland Group Co.Ltd(002482) (hereinafter referred to as “the company”) has made statistics on the litigation and arbitration matters involving the company and its holding subsidiaries for 12 consecutive months in accordance with the relevant provisions of the stock listing rules of Shenzhen Stock Exchange. The relevant statistics are hereby announced as follows:
1、 Accumulated basic information of litigation and arbitration matters
From the previous disclosure of the announcement on cumulative litigation and Arbitration (Announcement No.: 2021064) to the disclosure date of this announcement, in addition to the disclosed litigation / arbitration cases, the total amount involved in litigation and arbitration matters of the company and its holding subsidiaries in 12 consecutive months is about RMB 528273600, accounting for about 8.46% of the absolute value of the latest audited net assets of the company. Among them, the total amount of relevant cases of the company and its holding subsidiaries as the plaintiff’s main complaint against the company’s largest customer is about 339336 million yuan.
The company and its holding subsidiaries have no major litigation or arbitration matters in which the amount involved in a single case accounts for more than 10% of the absolute value of the company’s latest audited net assets and the absolute amount exceeds RMB 10 million. 2、 Are there any other undisclosed litigation and arbitration matters
The company and its holding subsidiaries have no other litigation and arbitration matters that should be disclosed but not disclosed.
3、 The cumulative litigation and arbitration matters in this announcement may have an impact on the company
In most cases involving the company, the company, as the plaintiff, requires the counterparty to pay the project funds owed to the company. According to the relevant provisions of the reply of the Supreme People’s Court on whether the decoration project funds enjoy the priority of compensation stipulated in Article 286 of the contract law and the interpretation of the Supreme People’s Court on the applicable law in the trial of construction contract dispute cases of construction projects (I), the construction projects enjoy the priority of compensation. The company will advocate and safeguard its own legitimate rights and interests according to law, and actively take relevant legal measures to safeguard the interests of the company and shareholders.
In view of the fact that some cases have not yet been heard in court, the judgment results have not been issued, and the judgment results have not yet taken effect, the impact on the company’s profits in the current period or after the period is uncertain. The company will carry out corresponding accounting treatment according to the requirements of relevant accounting standards and the actual situation, and timely perform the obligation of information disclosure in accordance with the requirements of the rules.
