1、 Basic information of litigation
1. Dalian Morningstar Network Technology Co.Ltd(002447) (hereinafter referred to as “the company” or “the listed company”) recently received a notice from the controlling shareholder Jucheng Enterprise Management Group Co., Ltd. (hereinafter referred to as “Jucheng group”), Jucheng group recently received a summons issued by the people’s Court of Tai’an high tech Industrial Development Zone of Shandong Province on the case of construction contract dispute between Zhejiang zhu’an Construction Group Co., Ltd. (hereinafter referred to as “zhu’an construction”) and Jucheng group and its wholly-owned subsidiary Jucheng future information technology (Shandong) Co., Ltd. (hereinafter referred to as “Jucheng future”) Case No.: (2021) Lu 0991 min Chu No. 1768 and civil complaint and other documents. The case has not yet been heard.
2. The company recently received a notice from the controlling shareholder Jucheng group, Jucheng group recently received a civil complaint document issued by the people’s Court of Tai’an high tech Industrial Development Zone in Shandong Province on the case of loan contract dispute between Tai’an Taishan Holding Co., Ltd. (hereinafter referred to as “Taishan holding”) and Jucheng group and its wholly-owned subsidiary Jucheng future, case No.: (2021) Lu 0991, minchu No. 1819. The case has not yet been heard.
2、 Content of litigation
(I) dispute over construction contract of construction project
1. On July 17, 2020, zhu’an construction and Jucheng future signed the construction contract of construction engineering, and disputes occurred during the implementation of the contract.
2. In October 2021, zhu’an construction filed a lawsuit with the people’s Court of Tai’an high tech Industrial Development Zone of Shandong Province on the construction contract of the above construction project, case No.: (2021) Lu 0991 min Chu No. 1768, civil complaint and other documents.
3. The main demands of the plaintiff zhu’an construction are as follows:
1) Rescind the construction contract of construction project signed by the plaintiff and the defendant Jucheng future on July 17, 2020; 2) Order the defendant Jucheng future company to pay the project payment of 83410026 yuan, and calculate the liquidated damages by 0.04% per day from the date of prosecution to the date of actual payment of the project payment;
3) Ordered the defendant Jucheng to compensate 16142372 yuan for the loss of profits in the future;
4) The judgment confirms that the plaintiff has the priority to be compensated for the discount or auction price of Jucheng future digital information technology industrial park project;
5) Order the defendant Jucheng group to be jointly and severally liable for the future debts of the defendant Jucheng;
6) The litigation costs shall be borne by the defendant.
(II) dispute over loan contract
1. On December 30, 2020, the plaintiff Taishan holdings signed the loan guarantee contract with Jucheng future. Later, Jucheng will not repay the principal and interest of the loan when it is due in the future.
2. Taian Taishan company filed a lawsuit with the people’s Court of Shandong Taian high tech Industrial Development Zone in November 2021, case No.: (2021) Lu 0991 min Chu No. 1819.
3. The main demands of the plaintiff Taian Taishan company are as follows:
1) Jucheng will repay the loan of 50 million yuan in the future;
2) It ordered Jucheng to pay interest of 107511111 yuan, liquidated damages of 5 million yuan and overdue interest of 9.6 million yuan in the future (temporarily calculated until September 30, 2021);
3) Order to dispose of the land held by Jucheng in the future according to law (the real estate registration number is Lu (2020) Tai’an real estate property right No. Wisesoft Co.Ltd(002253) 1);
4) Jucheng group was ordered to bear joint and several liability for repayment.
5) Case acceptance fee, preservation fee, lawyer agency fee, preservation agency fee and other expenses for realizing creditor’s rights shall be borne by Jucheng group and Jucheng future.
