Independent opinions on matters related to the 68th Meeting of the third board of directors
As an independent director of Jade Bird Fire Co.Ltd(002960) (hereinafter referred to as the “company”) in accordance with the relevant rules and regulations such as the Listing Rules of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, and the rules for independent directors of listed companies, The following opinions are hereby expressed on the proposal on nominating candidates for non independent directors of the Fourth Board of directors and the proposal on nominating candidates for independent directors of the Fourth Board of directors considered at the 68th Meeting of the third board of directors of the company:
1、 The term of office of the third board of directors of the company is about to expire, and the general election is in line with relevant laws and regulations, normative documents and the relevant provisions of the articles of association. The board of directors of the company nominated a total of 7 candidates for the fourth session of the board of directors, among which the candidates for non independent directors are Mr. Cai Weimin, Mr. Ni Jinlei, Ms. Zheng Zhong and Mr. Kang Yazhen; Candidates for independent directors are Mr. Shi Jiayou, Mr. Yuan Hao and Mr. Jesse Zhixi Fang. We believe that the nomination procedure of director candidates in the general election of the board of directors complies with the relevant provisions of the company law and the articles of association, and the voting procedure is legal and effective.
2、 We have carefully checked the personal resume, educational background, work and other information of the above seven director candidates, and believe that the above seven director candidates have the qualifications of directors of listed companies as stipulated in relevant laws and regulations and the articles of association, and have the necessary work experience to perform their duties as directors, It is not found that it is not allowed to serve as a director of the company as stipulated in the company law and the articles of association, and has not been punished by the CSRC and other relevant departments or the stock exchange in the past three years. It is not a person who is dishonest and is not executed because he is filed for investigation by the judicial organ for suspected crime or by the CSRC for suspected violation of laws and regulations.
3、 Independent director candidates Mr. Shi Jiayou, Mr. Yuan Hao and Mr. Jesse Zhixi Fang have the corresponding conditions for independent director candidates and have the working experience necessary for independence and performing the duties of independent directors. Mr. Shi HaoYou has participated in the training of independent director of Shenzhen Stock Exchange and has been recognized as an independent director by Shenzhen Stock Exchange. Candidates for independent directors are not allowed to serve as independent directors of the company as stipulated in the company law, the rules for independent directors of listed companies, the guidelines for information disclosure of listed companies of Shenzhen Stock Exchange No. 8 – filing of independent directors and other relevant laws and regulations, and have the qualification and ability to serve as independent directors of listed companies.
In conclusion, we agree to the nomination of the above seven candidates for directors and agree to submit relevant proposals to the first extraordinary general meeting of shareholders of the company in 2022 for deliberation. Among them, the qualification and independence of each independent director candidate shall be filed and reviewed by Shenzhen Stock Exchange before being submitted to the general meeting of shareholders of the company for deliberation and voting.
