1、 Convening of board meeting
The 98th meeting of the 5th board of directors of Wuliangye Yibin Co.Ltd(000858) (hereinafter referred to as “the company”) deliberated the proposal by circulation and communication on December 27, 2021. There were 10 directors who should participate in the deliberation and voting, and 10 directors who actually participated in the deliberation and voting. The meeting shall be held in accordance with the provisions of the company law and the articles of association.
2、 Consideration of proposals by the board of directors
Proposal 1: proposal on adding directors to the 5th board of directors
According to the spirit of yiweigan [2021] No. 556 and yiguozigan [2021] No. 134 documents, upon nomination by the nomination committee of the board of directors, the independent directors expressed independent opinions and agreed to nominate Mr. Zhang Yu as the candidate for director and vice chairman of the Fifth Board of directors of the company, and his term of office is the same as that of other directors.
After the addition of directors, the total number of directors who concurrently serve as senior managers of the company and staff representatives in the board of directors does not exceed half of the total number of directors of the company.
This proposal has 10 affirmative votes, 0 negative votes and 0 abstention votes. Voting result: adopted.
The proposal shall be submitted to the general meeting of shareholders for deliberation.
Proposal 2: proposal on the appointment of deputy general manager of the company
According to the spirit of yiweigan [2021] No. 556 and yiguozigan [2021] No. 136 documents, upon nomination by the nomination committee of the board of directors, the independent directors expressed independent opinions and appointed Mr. Liu Yang and Mr. Li Jian as the deputy general managers of the company, with a term of office consistent with that of other senior managers.

1、 Mr. Zhang Yu, Han nationality, born in Anyang, Henan Province in August 1974, is a member of the Communist Party of China, with a full-time bachelor degree and a doctor of economics. From July 1997 to may 2019, he worked in Chengdu Education Commission, Chengdu Education Bureau, Publicity Department of Qingyang District Committee of Chengdu, Qingyang District Committee of the Communist Youth League of Chengdu, Qingyang District Government Office of Chengdu, xiyuhe street of Qingyang District of Chengdu and Qingyang District Government of Chengdu.
