As an independent director of the company, we have expressed our prior approval opinions on the following matters:
1. Proposal on the company’s borrowing from controlling shareholders and related party transactions
We believe that this loan is conducive to the balance of the company’s working capital and reduce the pressure of working capital. The annual interest rate of this loan is not higher than the actual financing cost of New Hope Liuhe Co.Ltd(000876) investment group. The New Hope Liuhe Co.Ltd(000876) Investment Group has not benefited from this loan and does not damage the interests of the company and all shareholders. We agree to submit the loan matter to the 31st meeting of the 4th board of directors for deliberation. When the board of directors deliberates the proposal, the related directors Li Jianxiong, Zhang Minggui, Fang Qiang, Sheng Zixia and Li Jia shall withdraw as required.
