Announcement on the completion of the general election of the board of directors and the board of supervisors

Fujian Ideal Jewellery Industrial Co.Ltd(002740) (hereinafter referred to as “the company”) ）The fourth extraordinary general meeting of shareholders in 2021 was held on December 27, 2021, and the relevant proposals on the general election of the company’s board of directors and board of supervisors were considered and adopted. Previously, the company held a general meeting of all employees on December 13, 2021 to elect the employee representative supervisor of the Fifth Board of supervisors. The general election of the board of directors and the board of supervisors of the company has been completed, and the relevant information is hereby announced as follows:
1、 The 5th board of directors
The 5th board of directors of the company consists of 9 directors, including 6 non independent directors and 3 independent directors. The specific members are as follows:
Non independent directors: Li Yong, Chen Maosen, Zhang Boxin, Su Dijie, Liu Li, Zhang Yong
Independent directors: Ji Kun, Ding Yuanbo, Cao Zirui
The number of directors of the 5th board of directors of the company complies with the provisions of the company law of the people’s Republic of China and the articles of association, and the proportion of independent directors shall not be less than one-third of the members of the board of directors of the company. The term of office of the directors shall be calculated from the date of election and approval by the general meeting of shareholders of the company, and the term of office shall be three years.
2、 The 5th board of supervisors
The 5th board of supervisors of the company consists of 3 directors, including 2 shareholder representative supervisors and 1 employee representative supervisor. The specific members are as follows:
Shareholder representative supervisors: Cai Yu, Zhang Hongzhou
Employee Representative Supervisor: Wu Weizhen
The number of the Fifth Board of supervisors complies with the provisions of the company law of the people’s Republic of China and the articles of association. The number of supervisors who have served as directors or senior managers of the company in the past two years does not exceed half of the total number of supervisors of the company.
The term of office of the shareholder representative supervisor shall be calculated from the date of election and approval by the general meeting of shareholders of the company, and the term of office shall be three years.
