Verification opinions on the resignation of core technicians
Soochow Securities Co.Ltd(601555) (hereinafter referred to as ” Soochow Securities Co.Ltd(601555) ” or “sponsor”) as a sponsor of Suzhou Wanxiang Technology Co., Ltd. (hereinafter referred to as “Wanxiang technology” or “company”) for initial public offering of shares and listing on the gem, according to the requirements of relevant laws, regulations and normative documents such as the Listing Rules of Shenzhen Stock Exchange gem shares, Checked the matters related to the resignation of Wanxiang science and technology core technicians. The verification conditions and verification opinions are as follows:
1、 Details of core technical personnel leaving
(I) description of resignation of core technicians
Due to personal reasons, Mr. Guan Tao has recently completed the resignation procedures, and will not hold any position in the company after his resignation.
(II) the impact of the resignation of core technicians on the company
The company has arranged relevant personnel to take over the work of Mr. Guan Tao, and has realized smooth handover and transition. Mr. Guan Tao’s resignation is not expected to have a significant adverse impact on the company’s production and operation. According to the confidentiality agreement signed between Mr. Guan Tao and the company, Mr. Guan Tao is still obliged to keep confidential the company’s confidential information he contacts and knows after leaving the company, which will not affect the core technology held by the company.
(III) shares of listed companies held by core technicians
Since June 2020, Mr. Guan Tao has indirectly held shares of the company through Suzhou wanqianxiang enterprise consulting management partnership (limited partnership) (hereinafter referred to as “Suzhou wanqianxiang”). Suzhou wanqianxiang holds 1.73% of the shares of the company, and Mr. Guan Tao holds 2.89% of the capital contribution of Suzhou wanqianxiang.
As of the date of issuance of this verification opinion, Mr. Guan Tao has transferred the above shares in full and no longer holds the shares of the company directly or indirectly. The relevant industrial and commercial procedures of Suzhou wanqianxiang are still being handled.
2、 Verification opinions of the recommendation institution
After verification, the sponsor believes that the R & D team of Wanxiang technology has remained relatively stable. During his tenure, Mr. Guan Tao is mainly responsible for the production management and technical R & D of flexible functional parts and components. The company has arranged relevant personnel to take over his work and has achieved smooth handover and transition. His resignation will not have a substantive impact on the production, operation and technical R & D of the company’s corresponding business, It will not affect the core technology owned by the company. Therefore, the resignation of the company’s core technicians will not have a significant negative impact on the company’s core competitiveness and daily operation.
