Recently, Shenzhen Zhongheng Huafa Co.Ltd(000020) (hereinafter referred to as “company” or “Zhongheng HUAFA company”) received the civil judgment [(2020) Yue 03 min Zhong No. 27217] served by Shenzhen intermediate people’s Court of Guangdong Province (hereinafter referred to as “Shenzhen intermediate people’s court”). The details are hereby announced as follows:
1、 Basic information of the lawsuit involved in this time
Shenzhen Zhongheng Semiconductor Co., Ltd. (hereinafter referred to as “Zhongheng semiconductor”, formerly known as Shenzhen Zhongheng HUAFA Technology Co., Ltd.) sued the controlling shareholder Wuhan Zhongheng New Technology Industry Group Co., Ltd. (hereinafter referred to as ” Guangxi Wuzhou Zhongheng Group Co.Ltd(600252) company”), the company and Shenzhen Wanke Development Co., Ltd. (hereinafter referred to as “Vanke Company”) for confirming the invalidity of the contract.

2. Claim
The request for judgment is that the cooperative operation contract for the old reconstruction project of HUAFA Industrial Zone, Gongming street, Guangming New Area signed by henghuafa company, Guangxi Wuzhou Zhongheng Group Co.Ltd(600252) company and Vanke Company on August 26, 2015 is invalid.
3. Cause and course of dispute
On April 29, 2009, the company signed an asset replacement contract with Guangxi Wuzhou Zhongheng Group Co.Ltd(600252) company. According to the agreement of the contract, the company will be located in two pieces of land on HUAFA Road, Gongming town, Bao’an District, Shenzhen, namely parcel No. a6270005 (Real Estate Registration No. 8000101219) The land use right of a6270007 (Real Estate Registration No.: 8000101218) increased the capital of Zhongheng semiconductor twice and transferred it to Zhongheng semiconductor. Guangxi Wuzhou Zhongheng Group Co.Ltd(600252) company replaced the 100% equity of Zhongheng semiconductor held by the company with its 56% equity of Wuhan HENGFA Technology Co., Ltd. The main contents of the above asset replacement contract are detailed in the announcement on related party transactions with controlling shareholders published by the company on cninfo.com on April 30, 2009, Announcement No.: 200917.
Zhongheng semiconductor believes that the actual obligees of a6270005 (Real Estate Registration No. 8000101219) and a6270007 (Real Estate Registration No. 8000101218) are the plaintiff Zhongheng semiconductor. The cooperative operation contract for the old reconstruction project of HUAFA Industrial Zone, Gongming street, Guangming New Area signed by the company, Guangxi Wuzhou Zhongheng Group Co.Ltd(600252) company and Vanke Company in August 2015 does not include Zhongheng semiconductor company, which belongs to unauthorized disposal and shall be an invalid contract.
The company received the civil judgment [(2019) Yue 0306 min Chu No. 35795] served by the people’s Court of Bao’an District, Shenzhen City, Guangdong Province (hereinafter referred to as “Bao’an District Court”) in June 2020, rejecting all claims of Zhongheng semiconductor company.
Zhongheng semiconductor company refused to accept the judgment of Bao’an District Court and immediately appealed to Shenzhen intermediate people’s court.
2、 Judgment result
The second instance rejected all claims of Zhongheng semiconductor.
3、 Other undisclosed litigation and arbitration matters
The company has no other undisclosed litigation that should be disclosed.
4、 The impact of the above litigation and arbitration on the company’s profits in the current period or after the period
The judgment of this lawsuit is the judgment of second instance, and the above litigation matters have no impact on the company’s current profits or future profits. If Zhongheng semiconductor refuses to accept the judgment and starts the retrial procedure, the company will issue a progress announcement in time after receiving the relevant judicial documents.
