1、 Meetings of the board of directors
Wuliangye Yibin Co.Ltd(000858) (hereinafter referred to as “the company”) completed the deliberation of the proposal by circulation and communication at the 3rd meeting of the 5th board of directors in 2022 on March 3, 2022. There were 8 directors who should participate in the deliberation and voting, and 8 directors who actually participated in the deliberation and voting. The meeting shall be held in accordance with the provisions of the company law and the articles of association.
2、 Consideration of proposals by the board of directors
Proposal 1: proposal on adding directors to the 5th board of directors
According to the spirit of the notice on nominating Xiao Hao and other comrades for appointment and removal (Yi Wei Gan [2022] No. 64) issued by Yibin municipal Party committee of the Communist Party of China, upon nomination by the nomination committee of the board of directors, the independent directors expressed independent opinions and agreed to nominate Mr. Xiao Hao (attached with resume) as a director candidate for the Fifth Board of directors of the company, and his term of office is the same as that of other directors.
After the addition of directors, the total number of directors who concurrently serve as senior managers of the company and staff representatives in the board of directors does not exceed half of the total number of directors of the company.
This proposal has 8 affirmative votes, 0 negative votes and 0 abstention votes. Voting result: adopted.
This proposal must be submitted to the general meeting of shareholders for deliberation.
Proposal 2: proposal on the appointment and removal of senior managers of the company
(I) according to the spirit of the notice on nominating Xiao Hao and other comrades for appointment and removal (yiweigan [2022] No. 64) issued by Yibin municipal Party committee of the Communist Party of China and nominated by the nomination committee of the board of directors, Mr. Jiang Jia was appointed as the company’s chief economist and Mr. Zhao Dong as the company’s chief engineer. The term of office was the same as that of other senior managers. (resume attached)
(II) Mr. Zhao Dong no longer holds the post of deputy general manager of the company and Mr. Liu Ming no longer holds the post of chief engineer of the company.

Proposal 3: proposal on the appointment of the Secretary of the board of directors
Nominated by the nomination committee of the board of directors, the independent directors expressed independent opinions. The Fifth Board of directors of the company appointed Ms. Jiang Lin as the Secretary of the board of directors, and the term of office is the same as that of other senior managers. Mr. Peng Zhifu no longer performs the duties of secretary of the board of directors.
