Independent opinions on the addition of directors and the appointment and removal of senior managers to the board of directors of the company
In accordance with the relevant provisions of the guiding opinions on the establishment of independent director system in listed companies, the company law and the articles of association of the CSRC, as independent directors, we have reviewed the relevant materials on the addition of directors and the appointment and removal of senior managers of the company. Based on independent judgment, we express the following independent opinions:
1、 After reviewing the resumes of Mr. Xiao Hao, Ms. Jiang Lin, Mr. Yue Song, Mr. Jiang Jia and Mr. Zhao Dong, we believe that their educational background and work experience meet the conditions for holding relevant positions in listed companies, and we do not find any company law, articles of association, CSRC According to the relevant normative documents of Shenzhen Stock Exchange, there are no circumstances in which they are not allowed to serve as directors and senior managers of the company, and there are no circumstances in which they are determined by the CSRC to be prohibited from entering the market or the prohibition has not been lifted.
2、 The procedures for the addition of directors and the appointment and removal of senior managers are standardized and comply with the company law, the articles of association and other relevant provisions.
3、 Agree that the board of directors nominate Mr. Xiao Hao as a candidate for non independent director of the Fifth Board of directors of the company and submit it to the general meeting of shareholders for deliberation as required; It is agreed that the board of directors of the company shall appoint Ms. Jiang Lin as the deputy general manager and Secretary of the board of directors, Mr. Yue Song as the deputy general manager, Mr. Jiang Jia as the chief economist and Mr. Zhao Dong as the chief engineer of the company.
4、 It is agreed that Mr. Zhao Dong will no longer serve as the deputy general manager of the company and Mr. Liu Ming will no longer serve as the chief engineer of the company.
