Independent opinions of independent directors on the appointment of senior executives by the company
In accordance with the company law of the people’s Republic of China, the guiding opinions on the establishment of independent director system in listed companies, the articles of association, the rules of procedure of the board of directors, the working system of independent directors and other relevant provisions of the CSRC, As an independent director of Ningbo Sunlight Electrical Appliance Co.Ltd(002473) (hereinafter referred to as “the company”), with a serious and responsible attitude, I hereby make independent judgment on the relevant proposals on the appointment of the company’s general manager, deputy general manager, Secretary of the board of directors, chief financial officer and other senior managers at the first meeting of the Fifth Board of directors of Ningbo Sunlight Electrical Appliance Co.Ltd(002473) , and hereby express the following opinions:
After reviewing the personal resumes of relevant personnel, it is not found that they have any of the circumstances specified in Article 146 of the company law, have not been punished by the CSRC and other relevant departments and punished by the stock exchange, nor have they been prohibited from serving as senior managers of listed companies. The nominees have the qualifications to serve as senior managers of the company.
The nomination, appointment procedures and voting results of the company’s board of directors comply with relevant laws, regulations and the articles of association, and agree to appoint the company’s general manager, deputy general manager, Secretary of the board of directors and chief financial officer at the first meeting of the Fifth Board of directors.
