Announcement of resolutions of the first meeting of the 5th board of supervisors

1、 Meetings of the board of supervisors
Ningbo Sunlight Electrical Appliance Co.Ltd(002473) (hereinafter referred to as “the company”) ）The first meeting of the 5th board of supervisors was held by means of communication in the company’s conference room on December 24, 2021. The notice of this meeting was transmitted to all supervisors by e-mail and communication on December 24, 2021. Three supervisors should attend the meeting and three actually attended the meeting. The meeting was presided over by Ms. Shi Yanfang, the supervisor of the company. The convening, convening and voting procedures of the meeting shall comply with the relevant provisions of the company law and the articles of association.
2、 Deliberation at the meeting of the board of supervisors
After voting, the attending supervisors formed the following resolutions:

After deliberation, the supervisors attending the meeting unanimously agreed to elect Ms. Shi Yanfang as the chairman of the fifth session of the board of supervisors of the company. Her term of office is the same as that of the current session of the board of supervisors and will take effect from the date of deliberation and adoption at the meeting (see Annex for resume). Voting results: 3 in favor, 0 against and 0 abstention.

Up to now, Ms. Shi Yanfang does not hold shares of the company, has no relationship with other directors, supervisors, shareholders holding more than 5% shares and actual controllers of the company, and is not allowed to serve as supervisor of the company as stipulated in the company law. He has not been punished by the CSRC and other relevant departments or the stock exchange in the past three years. After inquiry on the website of the Supreme People’s court, Ms. Shi Yanfang is not a “dishonest executee”.
