In accordance with the guiding opinions on the establishment of independent director system in listed companies, the stock listing rules of Shenzhen Stock Exchange, the articles of association and other relevant provisions of China Securities Regulatory Commission, As an independent director of Jiao Zuo Wan Fang Aluminum Manufacturing Co.Ltd(000612) (hereinafter referred to as “the company”), we have reviewed the relevant matters considered at the 24th Meeting of the 8th board of directors in advance and expressed our opinions as follows:
1、 Proposal on appointing the company’s audit institution in 2021 and determining its audit fees
After review, The independent directors believe that Asia Pacific (Group) accounting firm (special general partnership) has many years of experience and ability to provide audit services for listed companies and can meet the requirements of the company’s audit work in 2021. The company continues to hire Asia Pacific (Group) accounting firm (special general partnership) is the audit institution of the company and will not harm the interests of the company and all shareholders. The independent directors agree to submit the matter to the board of directors for deliberation.
2、 Proposal on prediction of daily connected transactions with Jiaozuo Wanfang Group Co., Ltd
After review, the independent directors believe that the related party transactions are required for normal operation, and the transaction price is based on the open market price. The transaction will not damage the interests of the company and other shareholders, especially minority shareholders. The independent directors agreed to submit the related party transaction proposal to the board of directors of the company for deliberation.
