Announcement on resignation of directors and vice presidents of the company
The board of directors and all directors of the company guarantee that there are no false records, misleading statements or major omissions in the contents of this announcement, and bear individual and joint liabilities for the authenticity, accuracy and completeness of its contents.
Hainan Airlines Holding Co.Ltd(600221) (hereinafter referred to as “the company”) ）The board of directors received the written resignation report submitted by Mr. Zhang Zhigang, director and vice president of the company on December 23, 2021. Due to job adjustment, Mr. Zhang Zhigang applied to resign as a director, member of the special committee under the board of directors and vice president of the company, and resigned as a director and chairman of HNA Aviation Technology Co., Ltd., a holding subsidiary of the company. After his resignation, Mr. Zhang Zhigang will no longer hold any position in the company.
According to relevant laws and regulations and relevant provisions of the articles of association, Mr. Zhang Zhigang’s resignation will not cause the number of members of the board of directors of the company to be lower than the legal minimum, and will not affect the normal operation of the board of directors of the company. The above resignation report will take effect from the date it is delivered to the board of directors of the company.
The board of directors of the company expressed heartfelt thanks to Mr. Zhang Zhigang for his outstanding contributions to the company during his tenure.
