Announcement on the approval of the qualification of independent directors
Bank Of Zhengzhou Co.Ltd(002936) (hereinafter referred to as “the bank”) and all members of the board of directors guarantee that the contents of the announcement are true, accurate and complete, and there are no false records, misleading statements or major omissions.
The bank recently received the reply of Henan banking and Insurance Regulatory Bureau on Approving the qualification of Li Xiaojian Bank Of Zhengzhou Co.Ltd(002936) independent director (Yu Yin Bao Jian Fu [2021] No. 623) and the reply of Henan banking and Insurance Regulatory Bureau on Approving the qualification of Li Shuxian Bank Of Zhengzhou Co.Ltd(002936) independent director issued by Henan regulatory bureau of China Banking and Insurance Regulatory Commission (ybbjf [2021] No. 625), approved the qualifications of Mr. Li Xiaojian and Ms. Li Shuxian as independent directors of the bank. See the appendix for the resumes of Mr. Li Xiaojian and Ms. Li Shuxian.
Since the date when the qualifications of Mr. Li Xiaojian and Ms. Li Shuxian were approved, Mr. Xie Taifeng and Ms. Chen Meibao no longer hold relevant positions as independent non-executive directors and special committees of the board of directors of the bank. Mr. Xie Taifeng and Ms. Chen Meibao have confirmed that they have no differences of opinion with the board of directors of the bank, and there are no other matters that should be brought to the attention of shareholders and creditors of the bank after their resignation. The bank would like to express its heartfelt thanks to Mr. Xie Taifeng and Ms. Chen Meibao for their contributions during their tenure.

Resume of Mr. Li Xiaojian and Ms. Li Shuxian
Mr. Li Xiaojian, born in August 1954, Since December 2014, he has served as Zhongyuan Bank Co., Ltd (listed on the stock exchange of Hong Kong, stock code: 01216) external supervisor. He served as president of Henan University of economics and law from September 2010 to September 2015, President of Henan University of Finance and economics from October 2003 to September 2010, vice president of Henan University from September 2001 to October 2003, and president of School of environment and planning of Henan University from April 1994 to September 2001.
Mr. Li obtained his Bachelor of Science degree from Henan Normal University (Henan, China) in January 1982 and Nankai University in June 1990 (Tianjin, China) received his doctorate in economics and completed his doctorate course at the Australian National University in March 1990. Mr. Li was rated as a professor by the Henan provincial government in November 1993, a special allowance by the State Council in 1997, a young and middle-aged expert with outstanding national contributions in 1998, and a successful entrepreneur by the all China Federation of Returned Overseas Chinese in 2003.
Mr. Li does not hold shares in the bank. Except for the employment information disclosed in the above resume, there is no affiliated relationship with the shareholders holding more than 5% shares of the bank and other directors, supervisors and senior managers of the bank. Ms. Li Shuxian, born in December 1962, Since September 2018, China Citic Bank Corporation Limited(601998) An independent non-executive director of (International) Co., Ltd., he has been a director of elite beam limited since February 2017. He successively worked in PricewaterhouseCoopers and became a chartered accountant in London, UK from September 1986 to June 1994. He served as the financial manager of changgu UK Co., Ltd. and the financial manager of the summit Group PLC group. Ms. Li has worked in Bi since July 1994 Ma Wei certified public accountants was the audit managing partner of KPMG China’s financial services industry until its retirement in March 2018. In addition, Ms. Li served as senior adviser of Macao Liqiao bank from May 2019 to January 2020 and as a director of community business limited from April 2021 to December 2021. Ms. Li graduated from the University of Exeter in July 1986 with a bachelor’s degree in accounting and an honorary degree in accounting, obtained an Advanced Diploma in enterprise risk management from the school of professional studies of the University of Hong Kong in June 2020, and obtained a master’s degree in risk management from the University of Caledonia in Glasgow in November 2021. He has been a senior member of the Institute of Chartered Accountants in England and Wales since September 2000 and a senior member of the Hong Kong Institute of Certified Public Accountants since December 2002.
