Cre8 Direct (Ningbo) Co.Ltd(300703) (hereinafter referred to as “the company”) recently received a notice from the controlling shareholder of the company, Ningbo Beilun Heli Management Consulting Co., Ltd. (hereinafter referred to as “Heli management consulting”), and the internal shareholder of Heli management consulting plans to apply to Ningbo Cultural Tourism Investment Group Co., Ltd. (hereinafter referred to as “Ningbo cultural tourism investment”) ）Transfer the equity of Heli management consulting held by it. The counterparty Ning Bowen travel investment is a state-owned enterprise subordinate to Ningbo Municipal People’s government, and Ningbo state owned Assets Management Commission indirectly holds 100% equity. It is estimated that the proportion of Cre8 Direct (Ningbo) Co.Ltd(300703) equity indirectly involved in this transfer is 28% – 29%, which will lead to the change of the controlling shareholder and actual controller of the company. This agreement has not been formally signed. If the formal transfer agreement is signed, the approval procedures of the state owned assets management and supervision commission of Ningbo Municipal People’s Government shall still be performed.
