According to the guiding opinions on the establishment of independent director system in listed companies, the articles of association, the working system of independent directors and other documents, As an independent director of Weihai Guangwei Composites Co.Ltd(300699) (hereinafter referred to as “the company”), we have reviewed the relevant materials submitted by the company for the eighth meeting of the third board of directors in advance and learned the relevant background in advance. We hereby give the following prior approval opinions on the relevant proposals of the eighth meeting of the third board of directors of the company:
1、 Prior approval opinions on joint foreign investment and related party transactions between the company and related parties
The company’s joint investment with 16 affiliated natural persons in Weihai Guangsheng Aerospace Technology Co., Ltd. meets the needs of the company’s business development, is conducive to further enhance the company’s comprehensive competitiveness, will not affect the company’s normal production and operation activities and the company’s independence, and will not damage the interests of the company’s shareholders, especially the minority shareholders. We unanimously agreed to submit the proposal on joint foreign investment and related party transactions between the company and related parties to the board of directors of the company for deliberation.
