In accordance with the guiding opinions on the establishment of independent director system in listed companies, the guidelines for the standardized operation of listed companies of Shenzhen Stock Exchange and other relevant laws and regulations, the articles of association and the working system of independent directors of the company, As an independent director of Fujian Snowman Co.Ltd(002639) (hereinafter referred to as “the company”), we reviewed the relevant proposals submitted to the 34th meeting of the Fourth Board of directors for deliberation, and hereby express the following prior approval opinions on relevant matters:
1、 Prior approval opinions on signing the partnership agreement and related party transactions with professional investment institutions
After careful verification, listening to the reports of relevant personnel and reviewing relevant materials, we believe that the partnership agreement and related party transactions signed by the company and professional investment institutions are prudent decisions made by the company based on long-term interests and future development needs, and the related transactions involved are necessary for the normal operation of the company, No damage is found to the interests of the company and other shareholders, especially the interests of minority shareholders. We agree to submit the above proposal to the board of directors for deliberation.
2、 With regard to the prior approval opinions on signing the repurchase agreement and related party transactions with professional investment institutions, after careful verification, listening to the reports of relevant personnel and reviewing relevant materials, we believe that the repurchase agreement and related party transactions signed by the company and professional investment institutions are prudent decisions made by the company based on long-term interests and future development needs, The related party transactions involved are all necessary for the normal operation of the company, and no damage is found to the interests of the company and other shareholders, especially the interests of minority shareholders. We agree to submit the above proposal to the board of directors for deliberation.
