1、 Overview of this free transfer of some state-owned shares
On December 14, 2021, Chengdu Spaceon Electronics Co.Ltd(002935) (hereinafter referred to as ” Chengdu Spaceon Electronics Co.Ltd(002935) ” or “the company”) has received the notice from the controlling shareholder, the 10th Research Institute of China Electronics Technology Corporation (hereinafter referred to as “the 10th Institute”), and the 10th Institute plans to transfer 5404075 shares of the company (accounting for 2.60% of the total share capital of the company) it holds to China Electronics Technology Investment Holding Co., Ltd. (hereinafter referred to as “electronics technology investment”) free of charge ）Hold. After the transfer, the total share capital of the company will remain unchanged, and the total number and proportion of shares held by the actual controller of the company, China Electronics Technology Group Co., Ltd., will remain unchanged, of which ten companies hold 84663851 shares, accounting for 40.70% of the total share capital; CETC investment holds 5404075 shares, accounting for 2.60% of the total share capital.

10. CETC investment is a wholly-owned subsidiary of China Electronics Technology Group Co., Ltd., the actual controller of the company.
