In accordance with the guiding opinions on the establishment of independent director system in listed companies, the articles of association, the rules of procedure of the board of directors, the working system of independent directors and other relevant provisions of the CSRC, As an independent director of the 7th board of directors of Pengdu Agriculture & Animal Husbandry Co.Ltd(002505) (hereinafter referred to as ” Pengdu Agriculture & Animal Husbandry Co.Ltd(002505) ” or “the company”), we have carefully considered the relevant proposals considered at the 17th meeting of the 7th board of directors, and based on our independent judgment, we express our independent opinions as follows:
1. Independent opinion on hiring an auditor in 2021
Zhongxinghua certified public accountants complies with the relevant provisions of the securities law, has the experience and ability to provide audit services for listed companies, can meet the requirements of the company’s financial audit and relevant special audit work, is conducive to ensuring the quality of the company’s audit work and protecting the interests of the company and other shareholders, especially the interests of minority shareholders. Zhongxinghua certified public accountants has sufficient independence, professional competence and investor protection ability, and the review procedures comply with the relevant provisions of relevant laws and regulations. We agree to appoint zhongxinghua certified public accountants as the auditor of the company’s financial report and internal control in 2021, and submit the matter to the general meeting of shareholders for deliberation.
