In accordance with the company law of the people’s Republic of China, the securities law of the people’s Republic of China, the guiding opinions on the establishment of independent director system in listed companies, the articles of association and other relevant provisions, As an independent director of Xinjiang Beixin Road & Bridge Group Co.Ltd(002307) (hereinafter referred to as “the company” and “the company”), based on the attitude of being responsible to the company, all shareholders and investors, he expressed the following independent opinions on the introduction of investors to implement market-oriented debt to equity swap for capital increase of some subsidiaries:
This capital increase can reduce the company’s asset liability ratio, optimize the company’s capital structure, reduce financial risks, and improve the company’s core competitiveness and sustainable and healthy development ability. Therefore, we believe that the implementation of market-oriented debt to equity swap for capital increase of some subsidiaries is in line with the fundamental interests of the company. The price of this capital increase is determined according to the evaluation of the target company by an evaluation institution qualified to engage in Securities and futures business, and the pricing is fair and objective. In conclusion, we believe that the matter does not harm the interests of the company and shareholders, and the decision-making procedure is legal and effective. We agree to the matter and submit it to the sixth extraordinary general meeting of shareholders of the company in 2021 for deliberation.
