According to the guiding opinions on the establishment of independent director system in listed companies issued by the CSRC As an independent director of the eighth board of directors of the company, based on the independent and objective position, we express the following opinions in advance on the company’s authorization of daily connected transactions in 2022, in accordance with the guidelines for the standardized operation of listed companies of Shenzhen Stock Exchange, the articles of association of Jiangsu Zhongnan Construction Group Co.Ltd(000961) (hereinafter referred to as “the company”), the working system of independent directors and other relevant provisions:
After careful understanding of the authorized matters of the daily connected transactions, it is considered that the matters involved in the authorized amount of the daily connected transactions in 2022 belong to the normal needs of the company’s production and operation, and the transaction pricing is reasonable. It is hoped that the company will strictly implement various provisions when considering relevant matters in the future, ensure that the transaction is open and fair, and prevent related parties from damaging the interests of the company and other shareholders. We agree to submit relevant matters to the board of directors for deliberation.
