In accordance with the guiding opinions on the establishment of independent director system in listed companies, the stock listing rules of Shenzhen Stock Exchange, the guidelines for the standardized operation of listed companies of Shenzhen Stock Exchange, the articles of association and other relevant provisions, As an independent director of Guangdong Guanghong Holdings Co.Ltd(000529) (hereinafter referred to as “the company”), based on the analysis of relevant materials and the position of independent judgment, he expressed the following independent opinions on the investment and establishment of Guangdong Guanghong smart port food industry development Co., Ltd. and Guangdong Guanghong smart Port Industrial Investment Co., Ltd. considered at the fourth interim board meeting of the company in 2021:

The company’s investment in the establishment of Guangdong Guanghong smart port food industry development Co., Ltd. and Guangdong Guanghong smart Port Industrial Investment Co., Ltd. meets the needs of the company’s strategic planning and business development, conforms to the policy direction, and the risk is controllable. The establishment of the company is conducive to the transformation and upgrading of the company’s industry, expand the business scale of the enterprise and further enhance the competitiveness of the company. 2. The deliberation procedures of the board of directors comply with the provisions of relevant laws, regulations and normative documents, and there is no situation that damages the legitimate interests of the company’s shareholders, especially the minority shareholders.
