Shenzhen Jingquanhua Electronics Co.Ltd(002885) (hereinafter referred to as “the company”) held the 23rd Meeting of the third board of directors on December 14, 2021, deliberated and adopted the proposal on the company’s application for comprehensive credit line from financial institutions in 2022, which needs to be submitted to the general meeting of shareholders of the company for deliberation, approval and implementation.
1、 Comprehensive credit line to be applied
In order to promote the sustainable, healthy and stable development of the company and meet the actual business needs and capital planning of the company in daily production and operation and investment and construction projects, the company and its subsidiaries intend to apply to financial institutions for a comprehensive credit line with a total amount of no more than RMB or equivalent foreign currency of 1.8 billion in 2022 (the final credit line shall be subject to the credit line actually approved by each bank). The comprehensive credit line proposed by the company and its subsidiaries to apply to the above banks in 2022 is not equal to the actual financing amount of the company or its subsidiaries. Within the above total comprehensive credit line, the board of directors requests the general meeting of shareholders to authorize the chairman and general manager to increase the scope of credit banks or adjust the credit line between banks according to the business situation. The specific financing amount will depend on the actual needs of the company’s working capital (finally based on the actual needs of each bank and the company)

The amount of financing incurred during the period shall prevail); The chairman or his authorized representative is authorized to sign all contracts, agreements, vouchers and other legal documents related to credit (including but not limited to credit extension, loan, bill, mortgage, financing, letter of guarantee, account opening, account cancellation, etc.) within the above line on behalf of the company, and all legal and economic responsibilities arising therefrom shall be borne by the company.
