Sinolink Securities Co.Ltd(600109) (hereinafter referred to as ” Sinolink Securities Co.Ltd(600109) ” or “sponsor”) as the sponsor of Xiamen Sunrise Wheel Group Co.Ltd(002593) (hereinafter referred to as ” Xiamen Sunrise Wheel Group Co.Ltd(002593) ” or “company”) for non-public offering of A-Shares (hereinafter referred to as “this offering”) in 2021, In accordance with the requirements of relevant laws, regulations and normative documents such as the measures for the administration of securities issuance and listing recommendation business, the stock listing rules of Shenzhen Stock Exchange, the guidelines for the self discipline supervision of listed companies of Shenzhen Stock Exchange No. 13 – recommendation business, the lifting of restrictions on the sale of restricted shares issued this time has been carefully verified. The specific conditions of verification are as follows:
1、 Overview of the lifting of restricted shares
With the approval of the reply on approving Xiamen Sunrise Wheel Group Co.Ltd(002593) non-public shares issued by the China Securities Regulatory Commission (zjxk [2020] No. 2134), the company issued 106948029 RMB ordinary shares (A shares) to 13 specific objects in the form of non-public offering. The new shares in this non-public offering were listed on Shenzhen Stock Exchange on September 8, 2021. The nature of the new shares issued this time is tradable shares with limited sales conditions. The restricted sales period of the shares subscribed by the issuing object is 6 months. In case of legal holidays or rest days, it will be postponed to the first trading day thereafter. “Within 6 months from the first day of listing of the newly added shares of Xiamen Sunrise Wheel Group Co.Ltd(002593) this non-public offering, the above shares subscribed by the unit / myself shall not be transferred.
After the expiration of the lock-in period, the reduction of the shares of the above company subscribed by the unit / myself will also comply with the company law, the securities law, the Listing Rules of Shenzhen Stock Exchange and other laws, regulations, rules and normative documents, the relevant rules of Shenzhen Stock Exchange and the relevant provisions of the articles of association of the company. “
(II) performance of the above commitments
As of the date of issuance of this verification opinion, the issuing objects applying for lifting the restrictions on sales have strictly fulfilled the above commitments and have not violated the commitments.
(III) occupation of funds of listed companies and illegal guarantee
As of the date of issuance of this verification opinion, none of the issuing objects applying for lifting the restrictions on the sale of shares has occupied the company’s funds for non-profit, and the company has no illegal guarantee and other acts that infringe on the interests of the listed company.

1. The listing and circulation date of the restricted shares is March 9, 2022.
2. The number of restricted shares lifted this time is 106948029 shares, accounting for 132352% of the company’s current total shares of 808058029 shares.
