Inner Mongolia Dazhong Mining Co.Ltd(001203) (hereinafter referred to as “the company”) according to the articles of association, in combination with the actual situation of the company’s operation and development, and with reference to the salary level of the industry and region, through the first meeting of the salary and assessment committee of the Fifth Board of directors The 10th meeting of the 5th board of directors deliberated and approved the proposal on the remuneration scheme of directors in 2022 and the proposal on the remuneration scheme of senior managers in 2022, and the 6th meeting of the 5th board of supervisors deliberated and approved the proposal on the remuneration scheme of supervisors in 2022. The specific contents are as follows:

1、 The scheme is applicable to directors, supervisors and senior managers of the company during the term of office in 2022. II. Application period: January 1, 2022 to December 31, 2022

3、 Salary payment standard

1. Remuneration of directors of the company

(1) Independent directors: the salary of independent directors adopts the allowance system. The allowance standard in 2022 is 120000 yuan per year (including tax), which is paid on an average monthly basis.

(2) Non independent directors: Directors of the company who hold specific positions in the company will receive remuneration according to their specific positions and the company’s remuneration and performance appraisal management system, and will not receive director’s allowance separately. 2. Remuneration of the company’s supervisors: if the company’s supervisors hold specific positions in the company, they will receive remuneration according to their specific positions and the relevant systems of the company’s remuneration and performance appraisal management, and will not receive the remuneration of supervisors separately. Supervisors appointed by shareholder units do not receive corresponding remuneration in the company.

3. The remuneration of senior management personnel in the company shall be paid according to the performance appraisal system of the company.

4、 Other provisions

1. The remuneration of directors, supervisors and senior managers of the company shall be paid on a monthly basis.

2. If the directors, supervisors and senior managers of the company leave their posts due to change of office, re-election, dismissal during their term of office and other reasons, the remuneration shall be calculated and paid according to their actual term of office.

3. The above salaries and allowances are pre tax amounts, and the personal income tax involved is uniformly withheld and paid by the company.
