Independent opinions on the appointment of senior managers by the company
In accordance with the guiding opinions on the establishment of independent director system in listed companies, the stock listing rules of Shenzhen Stock Exchange, the articles of association and other laws and regulations, as an independent director of Wedge Industrial Co.Ltd(000534) (hereinafter referred to as the “company”), we express the following independent opinions on the appointment of senior managers of the company:
1. After review, the resumes and other relevant materials of the proposed senior managers, such as Mr. Bi Tianxiao, Ms. Chen Lan, Mr. Cai Yongfeng and Ms. Lin Liyun, have not found the situation that they are not allowed to serve as senior managers of the company as stipulated in the company law, and have been identified as market prohibited persons by the CSRC or the prohibition has not been lifted. The qualifications of Mr. Bi Tianxiao, Ms. Chen Lan, Mr. Cai Yongfeng and Ms. Lin Liyun meet the relevant provisions of the company law and the articles of association.
2. The procedures for the nomination and appointment of senior managers of the company comply with the relevant provisions of the company law, the stock listing rules of Shenzhen Stock Exchange and the articles of association, and the appointment procedures are legal and effective.
3. We agree to appoint Mr. Bi Tianxiao as the general manager, Ms. Chen Lan, Mr. Cai Yongfeng as the deputy general manager, Ms. Lin Liyun as the chief financial officer and Mr. Cai Yongfeng as the Secretary of the board of directors.
