1、 Transaction overview
1. In order to recover the capital, improve the capital situation of Yunnan Yuntou Ecology And Environment Technology Co.Ltd(002200) (hereinafter referred to as “the company”) and enhance the main business capacity. On October 25, 2021, after deliberation at the 11th meeting of the seventh board of directors of the company, it was agreed that the company publicly transferred 20% of the equity of Kunming Zhengcheng Real Estate Development Co., Ltd. (hereinafter referred to as “Zhengcheng company”) held by the company through the listing method of Yunnan property right exchange Co., Ltd., and the listing price shall not be lower than the assessed value of the equity after being filed with state-owned assets.

On December 8, 2021, the company received the confirmation letter of transfer qualification sent by Yunnan property right exchange Co., Ltd. as of the expiration of the announcement, Zhengcheng company’s equity listing transfer has collected a qualified intended transferee, Yunnan cloud Investment Construction Co., Ltd. According to the Listing Rules of Shenzhen Stock Exchange, the company submitted this related party transaction to the 12th meeting of the seventh board of directors for deliberation. After the deliberation and approval of the board of directors, the company timely carried out the contract signing and property right transfer with Yunnan cloud Investment Construction Co., Ltd. on the transfer of 20% equity of Zhengcheng company in accordance with the provisions and requirements of Yunnan property right exchange Co., Ltd.
