In accordance with the guidance on the establishment of independent director system in listed companies issued by China Securities Regulatory Commission, the stock listing rules of Shanghai Stock Exchange and the articles of association, we, as independent directors of the company, After carefully reviewing the proposal on providing guarantee for wholly-owned subsidiaries to apply for comprehensive credit line of working capital loans from banks considered at the second meeting of the Fifth Board of directors of the company, based on independent judgment, we hereby express the following opinions:
1、 Independent opinions on providing guarantee for wholly-owned subsidiaries to apply for comprehensive credit line of working capital loans from banks
With regard to the company’s application for guarantee for Liaoning Xinhua longdayou Molybdenum Industry Co., Ltd., a wholly-owned subsidiary of the company, to Linghai sub branch of Jinzhou Bank Co., Ltd. for a comprehensive credit line of working capital loan of no more than 123.5 million yuan and 5 million US dollars, there is no conflict with the company law In case of any violation of laws and regulations such as the notice on regulating the external guarantee behavior of listed companies, the decision-making procedure of the guarantee shall comply with the articles of association and other provisions. It is in our judgment that providing guarantee to the wholly-owned subsidiary based on the content of the proposal is conducive to the development of the subsidiary, which is in line with our judgment. There is no major shareholder infringing on the interests of the company or other circumstances detrimental to the interests of the company. We express our unanimous agreement on this matter.
