1、 Meetings of the board of directors
Qinchuan Machine Tool & Tool Group Share Co.Ltd(000837) (hereinafter referred to as “the company”) the 10th meeting of the 8th board of directors was notified in writing (direct or email) on February 26, 2022 and held by communication on March 1, 2022. There are 9 directors who should vote at the meeting and 9 directors who actually vote. The meeting was held in accordance with relevant laws, administrative regulations, departmental rules, normative documents and the articles of association.
2、 Deliberations of the board meeting
1. The proposal on the disposal of Yancheng assets of the company was deliberated and adopted.
According to the needs of the company’s industrial focus structure adjustment, revitalizing assets and the park planning of Yancheng high tech Industrial Development Zone, the Management Committee of Yancheng high tech Industrial Development Zone plans to collect and store the land use right, buildings, equipment, inventory and other assets of our company located in Qinchuan Industrial Park, Yandu District, Yancheng City, Jiangsu Province. In order to effectively revitalize this part of assets, the board of directors approved the company to dispose of this asset in Yancheng (Qinchuan Industrial Park) based on the asset appraisal value on October 31, 2021.
