The announcement of the 14th meeting of the board of supervisors and the statement of the 5th meeting of the board of supervisors are inaccurate or misleading.
At 11:30 am on February 27, 2022, the 14th meeting of the 5th board of supervisors of Shandong Delisi Food Co.Ltd(002330) (hereinafter referred to as “the company”) was held in the conference room of the resident company in Changcheng Town, Zhucheng City, Shandong Province. The meeting has been temporarily notified to all supervisors by telephone and Internet on February 15, 2022. The meeting shall be held by combining on-site voting and communication voting. Three supervisors should attend the meeting and three supervisors actually attended the meeting. Senior executives of the company attended the meeting as nonvoting delegates.
The meeting was presided over by Mr. Zheng Qiankun, chairman of the board of supervisors of the company. The meeting shall be held in accordance with the company law of the people’s Republic of China, the articles of association and other relevant provisions. After careful deliberation by all supervisors present at the meeting, the following resolutions were adopted:
1、 The proposal on using raised funds to replace early investment was deliberated and adopted.
After review, the board of supervisors considered that the company’s use of raised funds to replace the early investment complies with the provisions of relevant laws, regulations and normative documents on the management of raised funds, does not affect the normal investment of the company’s investment projects of raised funds, and does not change the purpose of raised funds in a disguised manner and harm the interests of all shareholders. It agreed that the company uses raised funds to replace the early investment this time.
