As an independent director of the second board of directors of Hitevision Co.Ltd(002955) (hereinafter referred to as “the company”), in accordance with the company law, the standards for corporate governance of listed companies, the rules for independent directors of listed companies, the stock listing rules of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board and other laws Regulations, normative documents, articles of association and other relevant provisions, in a serious and responsible manner, based on independent judgment, after considering the relevant proposals and materials submitted to the 11th meeting of the second board of directors of the company, after careful analysis, the following independent opinions on relevant matters are expressed:
1、 Independent opinions on increasing the amount of foreign exchange derivatives trading business
After verification, we believe that the company’s increase in the amount of foreign exchange derivatives trading business is based on the company’s actual business development needs, with the purpose of reducing the risk of foreign exchange rate and interest rate fluctuation. There is no risk speculation, which is conducive to enhancing the company’s financial stability, and there is no damage to the interests of the company and shareholders, especially the interests of minority shareholders, The relevant approval procedures comply with the provisions of relevant laws, regulations and the articles of association. Therefore, we unanimously agree to increase the amount of foreign exchange derivatives trading business this time.
