Independent opinions on matters related to the 10th meeting of the 5th board of directors
In accordance with the company law, the guiding opinions on the establishment of independent director system in listed companies, the stock listing rules of Shenzhen Stock Exchange (revised in 2022), the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, the articles of association and other relevant provisions, As an independent director of Sichuan Yahua Industrial Group Co.Ltd(002497) (hereinafter referred to as “the company”), we hereby express the following independent opinions on matters related to the subscription of pre IPO shares of Australian aby company considered at the 10th meeting of the 5th board of directors of the company:
This equity subscription is in line with the company’s lithium industry development strategy, which is conducive to further strengthening the company’s layout at the upstream resource end of the lithium industry and providing sufficient lithium resource guarantee for the company’s future development of lithium industry.
The 10th meeting of the 5th board of directors of the company has deliberated and approved the equity subscription, and the voting procedures comply with relevant laws and regulations and the articles of association and the measures for the administration of foreign investment.
This equity subscription does not constitute a connected transaction, nor does it constitute a major asset reorganization stipulated in the administrative measures for major asset reorganization of listed companies, and will not have a negative impact on the company’s financial status and operating results, nor will it damage the interests of the company and all shareholders, especially small and medium-sized shareholders. Therefore, we agree to this equity subscription.
