Announcement of resolutions of the first meeting of the sixth board of directors

1、 Meetings of the board of directors
The notice and materials of the first meeting of the sixth board of directors (hereinafter referred to as “the meeting”) of Air China Limited(601111) (hereinafter referred to as “the company”) were sent by e-mail on February 19, 2022. The meeting was held at 11:20 a.m. on February 25, 2022 in conference room c713, Air China headquarters building, No. 30, Tianzhu Road, Airport Industrial Zone, Shunyi District, Beijing. There are 8 directors who should attend the meeting, and 8 directors actually attended the meeting. The meeting was presided over by the director Mr. Song Zhiyong, and the supervisors, senior managers and heads of relevant departments of the company attended the meeting as nonvoting delegates. The convening and holding of this meeting is legal and effective in accordance with the company law of the people’s Republic of China and other relevant laws, administrative regulations, rules, normative documents and the articles of association.
2、 Deliberations of the board meeting
The following proposals were considered and adopted at this meeting:
(I) proposal on the election of chairman and vice chairman
Voting: 8 in favor, 0 against and 0 abstention. Voting result: adopted.
It is agreed to elect Mr. Song Zhiyong as the chairman of the sixth board of directors and Mr. Ma Chongxian as the vice chairman of the sixth board of directors.
(II) proposal on the appointment of members of special committees of the board of directors
Voting: 8 in favor, 0 against and 0 abstention. Voting result: adopted.
