Bus Online Co.Ltd(002188) (hereinafter referred to as “the company”) received the civil mediation statement with case numbers of “(2020) zhe 01 min Chu No. 2206” and “(2020) zhe 01 min Chu No. 2207) served by Hangzhou intermediate people’s Court (hereinafter referred to as” Hangzhou intermediate people’s court “) on February 25, 2022. The relevant matters are hereby announced as follows: I. Basic information of the acceptance of this case
The case of Li Jianhua and Hu Qiong respectively suing the company and other Securities Misrepresentation liability disputes was filed by Hangzhou intermediate people’s Court on August 10, 2020 and tried according to law.
2、 Basic information of the case
On August 15, 2020, the company issued the announcement on receiving the notice of response from Hangzhou intermediate people’s Court of Zhejiang Province (Announcement No.: 2020-069), which disclosed in detail the case of Li Jianhua and Hu Qiong respectively suing the company and other Securities Misrepresentation liability disputes. 3、 The civil mediation statement received this time
During the trial of this case, the parties reached the following agreement on their own:
(I) case No.: (2020) zhe 01 min Chu No. 2206
1. Bus Online Co.Ltd(002188) pay 21025535.52 yuan to Li Jianhua within 10 days after the effectiveness of this mediation agreement;
2. If Bus Online Co.Ltd(002188) is not performed in full on schedule according to Item 1 above, Li Jianhua shall be paid liquidated damages for overdue payment at the standard of 0.03% per day based on the unpaid amount payable.
3. There are no other disputes and disputes between the two parties on the false statements in this case.
The above agreement does not violate the legal provisions, and Hangzhou intermediate people’s court confirms it.
Both parties have signed the mediation agreement. According to Article 151 of the interpretation of the Supreme People’s Court on the application of the Civil Procedure Law of the people’s Republic of China, this mediation agreement has legal effect. (II) case No.: (2020) zhe 01 min Chu No. 2207
1. Bus Online Co.Ltd(002188) pay 7034028.20 yuan to Hu Qiong within 10 days after the effectiveness of this mediation agreement;
2. If Bus Online Co.Ltd(002188) is not performed in full on schedule according to Item 1 above, Hu Qiong shall be paid liquidated damages for overdue payment at the standard of 0.03% per day based on the unpaid amount payable.
3. There are no other disputes and disputes between the two parties on the false statements in this case.
The above agreement does not violate the legal provisions, and Hangzhou intermediate people’s court confirms it.
Both parties have signed the mediation agreement. Up to now, the company has no other litigation and arbitration matters that should be disclosed but not disclosed.
5、 Possible impact of the lawsuit announced this time on the company’s current profit or future profit
The company’s liabilities are estimated to be RMB 5.696 million as of the end of the year according to the above accounting standards. After the performance of the mediation agreement, the profit and loss of the company will be affected by 28.2 million yuan.
