Yantai Dongcheng Biochemicals Co.Ltd(002675) (hereinafter referred to as “the company”) recently received a written letter of commitment issued by Mr. Shouyi, the subscription object and actual controller of the company’s non-public offering of shares, the controlling shareholder Yantai Dongyi Bioengineering Co., Ltd. and the company’s shareholder Xiamen Luding Zhicheng equity investment management partnership (limited partnership). The commitments are as follows:
1. From six months before the pricing benchmark date of this non-public offering (November 4, 2021) to the date of this letter, we have not reduced our holdings of Yantai Dongcheng Biochemicals Co.Ltd(002675) shares.
2. As of the date of this letter, we have no plans or arrangements to reduce our holdings of Yantai Dongcheng Biochemicals Co.Ltd(002675) shares. From the issuance date of this letter to six months after the completion of this non-public offering of shares, we promise to strictly abide by the provisions of the securities law of the people’s Republic of China and other laws and regulations on the purchase and sale of shares of listed companies, not to illegally buy and sell Yantai Dongcheng Biochemicals Co.Ltd(002675) shares through any means (including centralized bidding, block trading or negotiated transfer), and not to implement short-term trading. 3. If we violate the above commitments and buy and sell Yantai Dongcheng Biochemicals Co.Ltd(002675) shares in violation of regulations, the proceeds from this will belong to Yantai Dongcheng Biochemicals Co.Ltd(002675) and we are willing to bear corresponding legal liabilities according to law.
