Opinions on the remuneration scheme of directors, supervisors and senior managers
Guangzheng Eye Hospital Group Co.Ltd(002524) (hereinafter referred to as “the company”) in accordance with the articles of association, the working rules of the remuneration and assessment committee of the board of directors and relevant remuneration and assessment systems and guidance documents of the company, in order to fully mobilize the enthusiasm and creativity of the directors, supervisors and senior managers of the company, improve the operation and management level and promote the steady, effective, long-term and healthy development of the company, In accordance with the principle of coordinating risks, responsibilities and interests, combined with the actual operation of the company and with reference to the salary level of the industry, formulate the salary scheme of the company’s directors, supervisors and senior managers. The details of the compensation scheme are as follows:
1、 Applicable objects of this scheme
The scheme is applicable to directors, supervisors and senior managers of the company.
2、 Application period of this scheme
This plan shall be implemented from the date of performance of the directors, supervisors and senior managers of the company until the date of adoption of the new salary plan.
3、 Salary standard
(I) Directors
1. Allowance for non independent directors: 10000 yuan / year / person;
2. Allowance for independent directors: 120000 yuan / year / person.
(II) supervisors
1. Supervisors who do not hold specific management positions in the company will not receive supervisor allowance;
2. Supervisors holding specific management positions in the company will receive corresponding remuneration according to their management positions or positions in the company, and will not receive supervisor allowance.
(III) senior management
According to their specific positions in the company, senior managers determine the salary standard according to the relevant salary regulations of the company and the basic principles of benchmarking the industry and matching the market. The annual salary system is adopted for senior managers, including basic salary and performance salary. The basic salary is paid on a monthly basis, and the performance salary is paid on an annual basis after comprehensive evaluation based on the results of annual work performance assessment and combined with the company’s operating performance and other factors. The proposed remuneration of senior managers is as follows:

If senior managers are part-time in the company, the remuneration standard shall be determined according to the principle of the higher remuneration of part-time positions.
4、 Other instructions
1. The basic salary of non independent directors, supervisors and senior managers who hold the management or other positions of the company shall be paid monthly, and the performance salary shall be paid annually after the annual assessment. The allowance for non independent directors and independent directors who do not hold management positions shall be paid annually. The remuneration is pre tax, and the directors, supervisors and senior managers of the company shall pay individual income tax according to law.
2. If the directors, supervisors and senior managers of the company leave their posts due to change of office, re-election, resignation during their term of office and other reasons, the remuneration shall be calculated and paid according to their actual term of office.
3. According to the requirements of relevant laws and regulations and the articles of association, the remuneration of senior managers shall take effect from the date of deliberation and approval by the board of directors, and the remuneration scheme of directors and supervisors shall be submitted to the general meeting of shareholders for deliberation and approval before it can take effect.
4. Matters not covered in this remuneration plan shall be implemented in accordance with relevant laws, regulations, normative documents and the articles of Association; In case of any conflict between this remuneration plan and the relevant laws, regulations, normative documents implemented in the future and the articles of association revised by legal procedures, it shall be implemented in accordance with the relevant laws, regulations, normative documents and the articles of association revised by legal procedures.
The remuneration and assessment committee of the board of directors agrees to submit the above remuneration scheme to the board of directors and the general meeting of shareholders of the company for deliberation in accordance with relevant requirements.
