Independent opinions on the appointment of senior managers by the company
As an independent director of Shenzhen Wongtee International Enterprise Co.Ltd(000056) (hereinafter referred to as “the company”), in accordance with the relevant provisions of the company law, the rules for independent directors of listed companies, the working system of independent directors of the company and the articles of association, we are based on independent judgment with a realistic, serious and responsible attitude, We hereby express the following independent opinions on the relevant proposals considered at the fourth extraordinary meeting of the ninth board of directors in 2022:
1、 Independent opinions on appointing Mr. Wu Kai as the deputy general manager of the company
After review, we believe that the nomination and appointment procedures of the company’s senior managers comply with the provisions of the company law, the guidelines for self discipline supervision of listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board and other relevant laws and regulations, as well as the articles of Association. The employed personnel meet the job requirements specified in relevant laws, regulations and the articles of association, and there is no situation that they are not allowed to serve as senior managers of the company as stipulated in the company law and the guidelines for self discipline supervision of listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board. The employed personnel have the qualification and ability to serve as senior managers of the company, which is conducive to the development of the company.
We agree to appoint Mr. Wu Kai as the deputy general manager of the company.
2、 Independent opinions on appointing Mr. Yang Bin as deputy general manager and Secretary of the board of directors of the company
After review, we believe that the nomination and appointment procedures of the company’s senior managers comply with the provisions of the company law, the guidelines for self discipline supervision of listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board and other relevant laws and regulations, as well as the articles of Association. The employed personnel meet the job requirements specified in relevant laws, regulations and the articles of association, and there is no situation that they are not allowed to serve as senior managers of the company as stipulated in the company law and the guidelines for self discipline supervision of listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board. Mr. Yang Bin has obtained the qualification certificate of secretary of the board of directors issued by Shenzhen Stock Exchange, and the qualification of secretary of the board of directors has been reviewed by Shenzhen stock exchange without objection. The employed personnel have the qualification and ability to serve as senior managers of the company, which is conducive to the development of the company. We agree to appoint Mr. Yang Bin as the deputy general manager and Secretary of the board of directors of the company.
