Anhui Xinbo Aluminum Co.Ltd(003038) (hereinafter referred to as “the company”) held the 15th meeting of the second board of directors on February 24, 2022, deliberated and adopted the proposal on the remuneration of directors and senior managers of the company in 2021. The relevant information is hereby announced as follows:
1、 Compensation scheme
1. The salary of serving as an independent director of the company is 50000 yuan (including tax) per year, starting from April 2021 and 36000 yuan (including tax) per year before April 2021;
2. Non independent directors who hold administrative positions in the company will receive remuneration according to their positions and will not receive additional director allowance;
3. The company has not paid any remuneration and allowances to non independent directors who do not hold office in the company;
4. The annual salary level of senior managers is linked to their responsibilities, risks and business performance. The annual salary of senior managers consists of basic salary and performance salary. The basic salary is mainly determined by considering the position, responsibility, ability, market salary and other factors. It is paid monthly without assessment; The performance salary shall be determined according to the comprehensive assessment results such as the performance assessment of individual posts and the completion of company objectives, and shall be assessed and distributed according to each assessment cycle.
