Announcement on resignation of non independent directors
The company and all members of the board of directors guarantee that the information disclosed is true, accurate and complete without false records, misleading statements or major omissions.
The board of directors of Hangzhou Dadi Haiyang Environmental Protection Co.Ltd(301068) (hereinafter referred to as “the company”) recently received a written resignation report from Mr. Tong Bin, a non independent director of the company. Mr. Tong Bin applied for resignation as a director of the company for personal reasons and will no longer hold any position in the company after his resignation. Mr. Tong Bin was originally scheduled to serve until October 18, 2023.
As of the disclosure date of this announcement, Mr. Tong Bin indirectly held 103800 shares of the company, accounting for 0.12% of the total share capital of the company, through directly and indirectly holding 3.44% of the capital contribution of Hangzhou Qianqian investment management partnership (limited partnership), and his spouse or other related persons did not hold shares of the company. Mr. Tong Bin promises to continue to abide by and urge his affiliates to continue to abide by the provisions of relevant laws, regulations, rules and systems and the original relevant statements and commitments after leaving office.
According to the relevant provisions of the company law of the people’s Republic of China, the guidelines for self regulation and supervision of listed companies on Shenzhen Stock Exchange No. 2 – standardized operation of companies listed on GEM, and the articles of association, Mr. Tong Bin’s resignation will not cause the number of the board of directors of the company to be lower than the minimum quorum, and his resignation application will take effect from the date of reaching the board of directors. Mr. Tong Bin’s resignation will not affect the normal operation of the company’s board of directors. After Mr. Tong Bin resigns, the company will not elect new directors by election, and the subsequent company will amend the relevant provisions of the articles of association in accordance with relevant legal procedures.
