Independent opinion on the resignation of the chairman of the company
In accordance with the guiding opinions on the establishment of independent director system in listed companies, the stock listing rules of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies No. 1 – standardized operation of listed companies on the main board and other relevant laws and regulations, normative documents and the relevant provisions of the Zhuhai Zhongfu Enterprise Co.Ltd(000659) chapter (hereinafter referred to as the “articles of association”), As an independent director of Zhuhai Zhongfu Enterprise Co.Ltd(000659) (hereinafter referred to as “the company”), adhering to the principles of seeking truth from facts, objectivity and impartiality, after consulting relevant regulations and understanding relevant conditions, based on independent judgment, we express the following independent opinions on the resignation of the chairman of the company:
1. After verification, Mr. Liu Jinzhong requested to resign from the position of chairman of the 10th board of directors and the strategy committee of the board of directors for personal reasons. The reason for his resignation is consistent with the actual situation, and there is no objection to the reason for his resignation.
2. According to the company law, the articles of association and other relevant provisions, Mr. Liu Jinzhong’s resignation will not affect the normal operation of the board of directors of the company, and the above resignation report will take effect from the date it is delivered to the board of directors of the company.
