Prior approval opinions on relevant matters
In accordance with the provisions of relevant laws, regulations and normative documents such as the rules for independent directors of listed companies, the Listing Rules of shares on the science and Innovation Board of Shanghai Stock Exchange and the provisions of the memorandum and articles of association revised and restated for the seventh time (hereinafter referred to as the “articles of association”) of China Resources Microelectronics Limited ( China Resources Microelectronics Limited(688396) ) (hereinafter referred to as the “company”), As an independent director of the company, we express the following prior approval opinions on the matters related to the 27th meeting of the first board of directors of the company:
1、 Prior approval opinions on the proposal on confirming daily connected transactions in 2021 and expected daily connected transactions in 2022
We believe that the related party transactions of the company in 2021 and the daily related party transactions of the company in 2022 are carried out on the basis of equality and negotiation, and the transaction price is fair, fair and reasonable, without damaging the interests of the company and other shareholders. We unanimously agree to submit the proposal on confirming the daily connected transactions in 2021 and the daily connected transactions expected in 2022 to the board of directors of the company for deliberation.
